1. Agreement to Terms
These Terms of Service (“Terms”) govern your access to and use of reasonix.tech, our custom digital studio services (websites, AI agents, software engineering, and automations), and Reasonix Social Publishing (the “Service”), operated by Reasonix (“Reasonix,” “we,” “us,” or “our”).
By visiting this website, signing a client agreement, or using the Service, you agree to these Terms. If you access or use the Service on behalf of a company, business, or client, you confirm that you have full legal authority to bind that entity to these Terms.
2. Digital Studio Services & Project Engagements
Reasonix provides high-end digital design, custom websites, autonomous AI agents, workflow automations, and growth systems for businesses.
Every client project is scoped and agreed upon individually through a formal proposal, statement of work, or quote specifying deliverables, milestones, timelines, and fees.
Timely feedback, content provision, credentials, and approvals from the client are required to maintain agreed project schedules.
3. Special Terms: Social Publishing & Facebook Automation
The following provisions apply to users of Reasonix Social Publishing and automated posting workflows connecting Facebook Pages, Instagram Business accounts, or other supported social channels:
A. Account and Authorization
You are strictly responsible for maintaining the security of your Reasonix credentials and any connected platform accounts.
You may connect only social accounts, Facebook Pages, and profiles that you legally own or are formally authorized to manage.
You must provide accurate authorization details and promptly revoke connection tokens if access authorization terminates.
You remain responsible for verifying the correct destination Page, channel, media, caption, and publishing schedule before publishing or setting an automated workflow.
B. Content Ownership and Client Representations
You retain full ownership of and legal responsibility for all media, text, captions, graphics, videos, hashtags, trademarks, and links submitted or scheduled through the Service.
You represent and warrant that you hold all necessary licenses, copyrights, rights, and permissions for all uploaded materials. You must not upload or publish content that infringes on third-party intellectual property or violates applicable law.
You grant Reasonix the limited, non-exclusive operational license needed to store, process, reformat, transmit, and publish your content at your instruction. This license ceases upon deletion of the content or termination of the connection, subject to standard archival and security backups.
C. Publishing & Platform Constraints
A scheduled post represents an automated instruction to attempt publication via official platform APIs at the specified time; it does not constitute a legal guarantee that the third-party platform will accept, render, or distribute the post.
Broadcasting or publishing may fail or experience delays due to third-party platform outages, API rate limits, expired permissions, media encoding incompatibilities, platform content moderation, or account-level restrictions.
You must strictly adhere to the terms, community standards, advertising policies, and developer rules of every connected platform (including Meta's Platform Terms and Community Standards). You must not use the Service to bypass platform rate limits, evade platform enforcement, or automate activity prohibited by the platform.
D. AI-Assisted Content Disclosures
Where AI writing, automated translation, or creative generation tools are enabled within the workflow, outputs may occasionally be inaccurate or unsuitable. You are solely responsible for reviewing all claims, facts, disclosures, and media suitability prior to public broadcast. AI generation does not substitute for human editorial oversight or legal counsel.
4. Intellectual Property & Deliverables Ownership
Client Deliverables: Upon receipt of full payment for an agency project, the client owns the custom code, digital designs, and assets created specifically for that project, unless otherwise agreed in writing.
Pre-existing Materials: Reasonix retains all ownership of our pre-existing proprietary tools, frameworks, algorithms, boilerplate code, workflows, and developer assets utilized to construct deliverables. Clients receive a perpetual, non-exclusive license to use such embedded tools as part of their finished deliverable.
5. Acceptable Use Policy
You agree not to use our website, services, or automation tools to:
- Violate any local, national, or international law, regulation, or platform rule.
- Publish or transmit unlawful, defamatory, harassing, fraudulent, obscene, or threatening content.
- Impersonate another person, brand, or entity, or falsify origins of content.
- Distribute spam, unsolicited bulk messages, malware, or phishing campaigns.
- Probe, scan, reverse-engineer, or test the vulnerability of our platform or infrastructure.
- Attempt to bypass API throttling, rate limits, or authorization controls.
6. Third-Party Services & APIs
Our services interface with third-party software, cloud infrastructure, and social APIs (such as Meta Graph API). We do not control these external providers. Any modifications, rate limits, pricing changes, API deprecations, or outages imposed by third parties are outside our control, and Reasonix is not liable for disruptions resulting from third-party decisions.
7. Disclaimer of Warranties
Except as explicitly set forth in a written proposal, our website and services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. Reasonix does not guarantee uninterrupted, bug-free, or continuous operation, nor do we guarantee specific financial or business outcomes (such as specific revenue, follower counts, or sales).
8. Limitation of Liability
To the maximum extent permitted by law, Reasonix, its founders, team members, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption.
In all events, our total cumulative liability arising out of or relating to any project or service shall be limited to the total fees actually paid by you to Reasonix for that specific project or service during the preceding three (3) months.
9. Suspension & Termination
We reserve the right to suspend or terminate access to our services immediately if we reasonably determine that you have breached these Terms, violated platform rules, engaged in unlawful behavior, or failed to fulfill agreed payment obligations.
You may stop using our services and request data removal at any time pursuant to our Data Deletion Instructions.
10. Changes to These Terms
We reserve the right to revise these Terms at any time. Material updates will be published on this page with an updated revision date. Continued usage of our website or services after updates are posted constitutes acceptance of the modified Terms.
